Execution and Referral Policy

SASAL, Inc. operates as a cross-border ecosystem platform designed to facilitate connections between clients and carefully selected partner companies across multiple jurisdictions. Through this platform, SASAL supports the identification, structuring, coordination, and execution of business opportunities by providing access to a curated network of professional service providers, operators, and strategic partners.

SASAL’s objective is not only to introduce opportunities, but to enable sustainable and scalable business execution models by leveraging an ecosystem-based approach that balances flexibility, independence, and long-term capability development for all participants.

1. Platform Role

SASAL acts primarily as a technology platform provider and facilitator of introductions between clients and partner companies.

As a general principle, SASAL does not:

  • Act as an agent, broker, intermediary, or representative of any party
  • Serve as a contracting party between clients and partner companies
  • Provide regulated professional services directly

Accordingly, all contractual relationships, obligations, and liabilities arise directly between the relevant parties unless otherwise explicitly agreed.

2. Engagement Structure and Project Execution

As a core operating principle, services facilitated through the SASAL ecosystem are executed under direct contractual relationships between clients and partner companies.

However, in certain circumstances, including but not limited to:

  • Projects involving multiple partner companies across jurisdictions
  • Situations requiring centralized coordination or integration
  • Cases where structured execution support or third-party facilitation is necessary

SASAL may enter into a direct contractual relationship with the client.

In such cases, SASAL functions primarily as:

  • A project coordinator or integrator
  • A facilitator of ecosystem collaboration
  • A support entity for alignment, structuring, and execution

while individual services remain delivered by the respective partner companies.

3. Transitional and Supportive Project RoleCritical Principle

Where SASAL is involved in project coordination or execution, such involvement is explicitly defined as:

  • Temporary and supportive in nature
  • Not intended to serve as a permanent execution or delivery layer

The purpose of SASAL’s involvement includes:

  • Supporting the establishment of project management capabilities within the client organization
  • Assisting in the development and standardization of service delivery methodologies among partner companies (servicers)
  • Enabling effective and structured utilization of the ecosystem

Accordingly:

  • Project management functions are expected to be progressively delegated to the client
  • Execution responsibility is gradually transitioned to the client’s internal organization
  • Partner companies establish direct, independent, and standardized delivery frameworks

Over time:

  • SASAL reduces its role as a coordinating or contracting entity
  • SASAL transitions out of the position of primary contractual involvement where feasible

This approach ensures:

  • Sustainable internal capability development within the client
  • Long-term independence and scalability of service delivery
  • Proper positioning of SASAL as an ecosystem enabler rather than a permanent execution provider

4. Partner Selection and Ecosystem Governance

SASAL conducts partner selection based on internal due diligence processes intended to maintain a high standard of quality within the ecosystem.

Such evaluation may include, but is not limited to:

  • Organizational background and credibility
  • Capability, experience, and execution track record
  • Alignment with ecosystem standards

However:

  • SASAL does not guarantee the outcome, quality, or results of services provided by partner companies
  • In the event of dissatisfaction or disputes, SASAL does not assume responsibility for service outcomes

At the same time, SASAL maintains ongoing oversight of ecosystem quality.

Where material deficiencies, performance issues, or misconduct are identified:

  • SASAL may implement corrective measures
  • Including restriction, suspension, or revocation of partner status within the ecosystem

This governance approach is intended to maintain long-term ecosystem integrity.

5. Referral Fee

Where a client elects to engage a partner company introduced through the SASAL platform, and where a contract is successfully formed and services proceed, SASAL may receive a referral fee.

This referral fee:

  • Is structured in accordance with applicable laws and regulations in each jurisdiction
  • Does not influence pricing, scope, or independence of services
  • Does not interfere with the direct contractual relationship between clients and partner companies
  • Is designed to support the sustainable operation, enhancement, and development of the SASAL platform

6. Disclosure ObligationJurisdiction-Specific

In certain jurisdictions, applicable laws, regulations, or professional rules may require disclosure of referral fee arrangements.

In such cases:

  • SASAL will clearly disclose the existence and general nature of any referral fee
  • Disclosure will be made in a timely and appropriate manner
  • SASAL will comply fully with all applicable transparency and disclosure requirements

7. Purpose and Principles

The referral fee structure exists to:

  • Sustain and continuously improve the platform
  • Maintain a high-quality and trusted ecosystem
  • Provide clients with relevant, curated, and execution-ready opportunities

SASAL does not promote or prioritize partner companies based solely on referral fee considerations and is committed to acting in the best interests of clients.

8. Client Discretion and Freedom of Choice

Clients retain full and independent discretion regarding all engagements facilitated through the platform.

  • There is no obligation to proceed with any introduced partner
  • Discussions may be discontinued at any time
  • If a partner is deemed unsuitable, no further action is required
  • Alternative options may be pursued freely

SASAL encourages independent evaluation and decision-making by clients.

9. Regulated and Licensed Services

Certain services within the ecosystem may be subject to professional regulation, including but not limited to:

  • Legal services
  • Accounting, tax, and audit services
  • Real estate brokerage
  • Financial advisory services

In such cases:

  • SASAL operates in strict compliance with applicable laws and professional rules
  • Referral fee structures may be modified, restricted, or not applied where required
  • Engagements are conducted directly between clients and licensed service providers

SASAL does not engage in:

  • Unauthorized brokerage activities
  • Prohibited fee-sharing arrangements
  • Interference with professional independence

10. Non-Interference Principle

Unless explicitly agreed under a direct contractual arrangement:

SASAL does not:

  • Participate in negotiations
  • Influence commercial terms or pricing
  • Execute core services
  • Provide regulated professional advice

All decisions and agreements remain solely between the contracting parties.

11. No Guarantee and Limitation of Responsibility

SASAL does not guarantee:

  • The performance, outcome, or success of any service
  • The suitability or conduct of partner companies
  • Compliance by any party with applicable laws

All responsibility for engagements and outcomes lies exclusively with the contracting parties.

12. Compliance Priority and Safeguards

Compliance with applicable laws and regulations takes precedence over all commercial arrangements.

SASAL reserves the right to:

  • Modify, restrict, or eliminate referral fee structures
  • Decline or limit introductions
  • Apply jurisdiction-specific controls

where legal, regulatory, or professional risks are identified.

13. Policy Updates

This policy may be updated periodically to reflect changes in applicable laws, regulatory requirements, and operational practices.
